What are the legal obligations of officers on a publicly-held Corporation? What about the Board of Directors? Can they all go to prison?

If it can be proven that they did illegal things aren't all subject to incarceration. I have heard of something called a "corporate shield". Never really understood what that meant. Do you? Does it protect anyone from being punished for misdeeds, criminal activites?
